Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the website gentes.ai and any services provided by Gentes, a business operating under French law and based in France ("Gentes," "we," "us," or "our"). By visiting this website, submitting an inquiry, signing a Statement of Work, or engaging our services in any form, you ("Client") agree to be bound by these Terms.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not agree to these Terms, do not use this website or engage our services.

These Terms constitute a binding agreement under French law, in particular the French Civil Code provisions governing services contracts and commercial obligations, as well as any applicable French and EU regulations (including the GDPR).

2. Description of Services

Gentes provides AI automation consulting and implementation services to B2C service businesses. Our current service lines include:

  • Lead Generation: lead reactivation campaigns, paid advertising campaigns, and automated content systems.
  • Voice AI: AI receptionist systems, automated lead qualification, and appointment-setting workflows.
  • Client Systems: automated follow-up sequences, CRM and pipeline management, and client nurture programs.
  • Growth Ops: end-to-end workflow automation, onboarding system design, and reporting dashboards.

The specific scope, deliverables, timeline, and fees for any engagement are defined in a separate Statement of Work ("SoW") or service agreement. These Terms apply to all such engagements and are incorporated by reference into every SoW, unless expressly superseded in writing.

3. Engagement Process

Our standard engagement follows this process:

  1. Discovery Call: An initial audit call (no charge) to assess the Client's current operations, goals, and fit for our services.
  2. Proposal and Statement of Work: If both parties wish to proceed, Gentes will prepare a written proposal outlining scope, deliverables, timeline, and fees. Upon the Client's acceptance, a formal SoW is issued.
  3. Agreement Signing: The engagement begins only upon the Client's written acceptance of the SoW and these Terms (by signature, electronic acceptance, or email confirmation).
  4. Project Delivery: Gentes delivers services in accordance with the agreed SoW. Timelines are estimates and may be adjusted by mutual agreement in writing.

Gentes reserves the right to decline any engagement at its discretion before a signed SoW.

4. Intellectual Property

Work Product. Upon receipt of full payment for the relevant deliverables, all rights, title, and interest in the custom work product created specifically for the Client under a SoW transfer to the Client.

Gentes Pre-Existing IP. Gentes retains all rights to its pre-existing intellectual property, including proprietary methodologies, frameworks, processes, templates, tools, and know-how developed independently of any client engagement. Where such pre-existing IP is incorporated into deliverables, Gentes grants the Client a non-exclusive, non-transferable license to use it solely for the Client's internal business purposes.

Portfolio Rights. Gentes reserves the right to reference the Client and describe the general nature of the work performed in its portfolio and marketing materials. Specific results, data, or identifying information will be anonymized or omitted unless the Client provides prior written consent.

Client-Provided Materials. The Client retains all rights to any data, content, branding, or materials it provides to Gentes. The Client grants Gentes a limited license to use such materials solely for the purpose of performing the services.

5. Client Obligations

To enable Gentes to perform effectively, the Client agrees to:

  • Provide accurate, complete, and timely information and data necessary for the engagement.
  • Grant access to the systems, platforms, and tools required to deliver the agreed services (e.g., CRM access, ad account access, API credentials), in compliance with applicable platform terms.
  • Designate a primary point of contact with the authority to make decisions and provide approvals on behalf of the Client.
  • Provide timely feedback and approval upon reasonable requests. Delays caused by the Client may extend project timelines at no fault of Gentes.
  • Ensure that any data shared with Gentes is collected and processed in compliance with applicable laws, including the EU General Data Protection Regulation (GDPR) and any national implementing legislation.
  • Do not use Gentes' deliverables or services for any unlawful purpose.

6. AI Disclaimers and Limitations

Gentes designs and implements AI-powered systems as tools to augment and support the Client's business operations. The following limitations apply:

AI as a Tool. AI systems deployed under our engagements are tools intended to support, not replace, human judgment. Final decisions regarding business operations, customer interactions, and any consequential actions remain the Client's responsibility.

No Guarantee of Outcomes. Gentes does not guarantee specific business results, revenue increases, lead volumes, conversion rates, or other performance metrics. AI system performance depends on many factors outside Gentes' control, including data quality, market conditions, and the Client's operational execution.

AI Output Errors. AI systems may produce outputs that are inaccurate, incomplete, or contextually inappropriate. The Client is responsible for implementing appropriate review and oversight mechanisms before AI-generated content reaches customers or affects business operations.

Client Oversight. The Client is solely responsible for the oversight, monitoring, and governance of any AI systems deployed in their environment following handover. Gentes' responsibility for AI system performance is limited to the warranty period defined in Section 10.

EU AI Act Transparency (Art. 52). Where Gentes implements AI systems that interact directly with humans (including AI receptionists, chatbots, or automated voice agents), such systems will disclose their AI nature to end users. The Client agrees not to modify or remove such disclosures and accepts responsibility for maintaining compliance once the system is under their operation.

Third-Party AI Services. Some implementations may leverage third-party AI platforms. Gentes is not responsible for changes, failures, or limitations introduced by such third-party providers.

7. Confidentiality

Both parties agree to keep confidential any non-public information disclosed by the other party in connection with the engagement ("Confidential Information"), and to use such information solely for the purpose of performing or receiving the services.

This obligation survives termination for a period of two (2) years, unless a shorter period is required by law.

Confidentiality obligations do not apply to information that: (i) is or becomes publicly available through no fault of the receiving party; (ii) was known to the receiving party before disclosure; (iii) is independently developed without reference to the Confidential Information; or (iv) is required to be disclosed by law or court order, provided the disclosing party is given reasonable prior notice where permitted.

Any processing of personal data by Gentes on behalf of the Client will be governed by a separate Data Processing Agreement (DPA) as required by the GDPR.

8. Payment Terms

Fees. All fees are set out in the applicable SoW and are exclusive of VAT, which will be applied in accordance with French tax law.

Invoicing. Gentes invoices monthly or as otherwise specified in the SoW. Invoices are due within fifteen (15) days of the invoice date.

Late Payment. Invoices not paid within the payment period will accrue a reasonable late fee (or, where not specified, interest at the applicable legal rate in France) without prejudice to Gentes' rights under French commercial-law rules on overdue payments.

Suspension. Gentes reserves the right to suspend services for accounts more than thirty (30) days past due, without liability to the Client, until payment is received.

Expenses. Reasonable out-of-pocket expenses incurred in delivering services (e.g., software licenses, paid tools) will be billed to the Client at cost unless otherwise specified in the SoW.

9. Limitation of Liability

Liability Cap. To the maximum extent permitted by applicable law, Gentes' total aggregate liability arising out of or related to these Terms or any SoW, whether in contract, tort, or otherwise, shall not exceed the total fees paid by the Client to Gentes in the twelve (12) months preceding the event giving rise to the claim.

Exclusion of Consequential Damages. Neither party shall be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of revenue, loss of data, or business interruption, even if advised of the possibility of such damages.

Exceptions. Nothing in these Terms limits liability for fraud, willful misconduct, gross negligence, or any liability that cannot be excluded under French law.

10. Warranty

Service Warranty. Gentes warrants that deliverables will materially conform to the specifications in the applicable SoW for a period of thirty (30) days following delivery ("Warranty Period").

Remedy. If a deliverable does not conform during the Warranty Period and the Client notifies Gentes in writing, Gentes' sole obligation is to repair or replace the non-conforming deliverable at no additional charge.

Exclusions. This warranty does not cover issues arising from: Client modifications; use other than as specified; third-party platform changes; or the Client's failure to meet its obligations under Section 5.

11. Termination

Convenience. Either party may terminate an engagement by providing thirty (30) days' written notice. The Client remains responsible for payment of all fees for services rendered through the termination date.

Material Breach. Either party may terminate immediately upon written notice if the other party commits a material breach and fails to cure within ten (10) days of receiving written notice specifying the breach.

Effect of Termination. Upon termination: (i) Gentes will cease work and issue a final invoice for services rendered; (ii) each party will return or destroy the other's Confidential Information upon request; (iii) Gentes will return any Client data and delete copies from its systems within thirty (30) days, subject to legal retention obligations (e.g., tax/commercial law).

Survival. Sections 4, 6, 7, 8, 9, 10, 12, and 13 survive termination.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the French Republic, including the French Civil Code and applicable EU regulations (notably the GDPR).

The exclusive jurisdiction for any disputes shall be the courts of France, located in Ile-de-France, except where mandatory EU or French consumer-protection rules require otherwise.

13. General Provisions

Severability. If any provision of these Terms is found invalid or unenforceable, the remaining provisions continue in full force.

Entire Agreement. These Terms, together with any executed SoW, constitute the entire agreement between the parties and supersede all prior negotiations, representations, or agreements.

No Waiver. Failure by either party to enforce any right shall not constitute a waiver of that right.

Force Majeure. Neither party shall be liable for delays or failures resulting from causes beyond their reasonable control (force majeure), as defined under French law. The affected party must notify the other promptly and make reasonable efforts to mitigate the impact.

Amendments. Gentes may update these Terms from time to time. Material changes will be communicated to active clients in writing. Continued engagement after the effective date constitutes acceptance.

Language. These Terms are written in English. In the event of a dispute, the English version shall prevail unless otherwise required by French law.
